(“Azincourt” or the “Company”) (TSX.V: AAZ, OTCQB: AZURF, FSE: A0U2) is pleased to announce the closing of the first tranche of its non-brokered private placement (the “Offering”). Under the first tranche, the Company raised C$6,405,000 from the sale of the following:
60,805,988 units of the Company (the “Units”) at a price of C$0.07 per Unit;
10,933,459 flow-through units of the Company (the “FT Units”) at a price of C$0.075 per FT Unit; and

The final tranche of the C$7.6M total Offering is fully-subscribed, and the Company anticipates closing taking place in the coming weeks.
Red Cloud Securities Inc. is acting as a finder in connection with the Offering.
Each Unit consists of one common share of the Company (each, a “Unit Share”) and one common share purchase warrant (each, a “Warrant”). Each FT Unit and Charity FT Unit consists of one common share of the Company to be issued as a “flow-through share” within the meaning of the Income Tax Act (Canada) (each, a “FT Share”) and one Warrant. Each Warrant entitles the holder thereof to purchase one common share of the Company (each, a “Warrant Share”) at a price of C$0.10 at any time before September 29, 2024.
The gross proceeds from the issuance of the FT Shares will be used for “Canadian Exploration Expenses” (within the meaning of the Income Tax Act (Canada)) (the “Qualifying Expenditures”), which will be renounced with an effective date no later than December 31, 2021 to the purchasers of the FT Shares in an aggregate amount not less than the gross proceeds raised from the issue of the FT Shares. If the Qualifying Expenditures are reduced by the Canada Revenue Agency, the Company will indemnify each subscriber of FT Shares for any additional taxes payable by such subscriber as a result of the Company’s failure to renounce the Qualifying Expenditures. It is expected that expenditures will largely be focused on the upcoming 30 to 35-hole, 7,000 m drill program at the East Preston Uranium Project located in the western Athabasca Basin in Saskatchewan, Canada.
The net proceeds from the sale of Units will be used primarily for the continued development of the Company’s East Preston uranium project, for working capital, and general corporate purposes.

Precious metal prices have been on the rise in 2020, and one analyst is bullish on two big-name copper producers.
The Analyst: Bank of America analyst Lawson Winder reinstated coverage of Teck Resources Ltd (NYSE: TECK) with a Buy rating and $36 price target. He also reinstated coverage of Freeport-McMoRan Inc (NYSE: FCX) with a Buy rating and $39 price target.
The Thesis: Winder said Teck is building a massive copper mine in Chile that will double the company’s copper production to 583,000 tons in 2025. At the same time, the copper project will reduce the company’s exposure to steelmaking coal to just 37% of 2025 EBITDA.
Winder said the copper market has a mixed outlook in the next couple of years, but he is bullish on low-cost production growth and says copper is a solid long-term investment beyond 2025.
“We believe that decarbonization means increased metal intensity. Often this means electrification, requiring ever more copper,” Winder wrote in a note.
Related Link: BofA Cuts Precious Metal Price Targets, Names Top Stock Picks
He said Teck offers investors a rare combination of sizable production growth, rising free cash flow and impressive capital returns.
For Freeport McMoRan, Winder said the company has made it through a risky period and is a compelling value given its liquidity, its diverse asset base and its strong track record of capital returns. Management also successfully navigated a tricky ownership change and transition from open pit to block cave at its Grasberg mine.
He projects copper production growth could increase Freeport’s copper output by 34% through 2028.
Benzinga’s Take: Winder’s copper stock initiations come just a week after Bank of America reduced its price forecasts for gold, silver and copper and cut its targets for 18 precious metal stocks. Obviously it's not good news for precious metal investors to see target prices falling, but BofA analysts still see plenty of opportunity for robust free cash flow and sizable returns for selective precious metal investors.

If we want to find a stock that could multiply over the long term, what are the underlying trends we should look for? In a perfect world, we'd like to see a company investing more capital into its business and ideally the returns earned from that capital are also increasing. Ultimately, this demonstrates that it's a business that is reinvesting profits at increasing rates of return. And in light of that, the trends we're seeing at Pretium Resources' (TSE:PVG) look very promising so lets take a look.
For those who don't know, ROCE is a measure of a company's yearly pre-tax profit (its return), relative to the capital employed in the business. The formula for this calculation on Pretium Resources is:
Return on Capital Employed = Earnings Before Interest and Tax (EBIT) ÷ (Total Assets – Current Liabilities)
0.21 = US$199m ÷ (US$1.2b – US$238m) (Based on the trailing twelve months to June 2021).
Thus, Pretium Resources has an ROCE of 21%. In absolute terms that's a great return and it's even better than the Metals and Mining industry average of 2.8%.
View our latest analysis for Pretium Resources
Above you can see how the current ROCE for Pretium Resources compares to its prior returns on capital, but there's only so much you can tell from the past. If you'd like to see what analysts are forecasting going forward, you should check out our free report for Pretium Resources.
We're delighted to see that Pretium Resources is reaping rewards from its investments and has now broken into profitability. The company was generating losses five years ago, but now it's turned around, earning 21% which is no doubt a relief for some early shareholders. In regards to capital employed, Pretium Resources is using 24% less capital than it was five years ago, which on the surface, can indicate that the business has become more efficient at generating these returns. This could potentially mean that the company is selling some of its assets.
On a side note, we noticed that the improvement in ROCE appears to be partly fueled by an increase in current liabilities. Effectively this means that suppliers or short-term creditors are now funding 20% of the business, which is more than it was five years ago. It's worth keeping an eye on this because as the percentage of current liabilities to total assets increases, some aspects of risk also increase.
In a nutshell, we're pleased to see that Pretium Resources has been able to generate higher returns from less capital. Since the stock has only returned 5.1% to shareholders over the last five years, the promising fundamentals may not be recognized yet by investors. So exploring more about this stock could uncover a good opportunity, if the valuation and other metrics stack up.
On the other side of ROCE, we have to consider valuation. That's why we have a FREE intrinsic value estimation on our platform that is definitely worth checking out.
High returns are a key ingredient to strong performance, so check out our free list ofstocks earning high returns on equity with solid balance sheets.

Toronto, Ontario–(Newsfile Corp. – September 29, 2021) – Purepoint Uranium Group Inc. (TSXV: PTU) (OTCQB: PTUUF) ("Purepoint" or the "Company") announced the commencement of its Fall drill program within the northeastern margin of Saskatchewan's Athabasca Basin in Canada.
"The focus of the drill program is our 100% owned Henday Lake project that we have been eager to advance for some time now," Scott Frostad, Purepoint's VP of Exploration stated. "This will be Purepoint's first drill program on the project following our airborne electromagnetic and ground gravity surveys that were completed to ensure the optimal targets are tested".
Highlights:
Purepoint is planning three initial diamond drill holes at an average depth of approximately 400 metres each.
The targeted electromagnetic conductor lies within an east-west trending magnetic low, considered to represent pelitic basement rocks, a typical host rock for economic uranium mineralization.
The Huskie Uranium deposit, discovered by Denison in 2017, is due west of the Henday Lake project and is associated with an east-west trending magnetic low.
Depending on initial results and timing, Purepoint can extend this drilling program if appropriate.
Work to date on the project is outlined in detail in an NI 43-101 compliant technical report which can be found on the Company's website.
Henday Lake
The 100% owned Henday Lake property is 1,029 hectares in size and consists of 2 claims. This property is located nine kilometres northwest of Orano's Midwest Lake deposit (41 million lbs. U3O8) and ten kilometres west of Rio Tinto's Roughrider Deposit (57 million lbs. U3O8).
Only one drill hole is known to have been drilled on the property. Hole HLH8-71 was drilled by Cogema Resources (now Orano Resources Canada Inc.) in 1998 and encountered a steeply dipping, strongly graphitic fault gouge at the bottom of the hole. The claims rest within a magnetic low believed to represent pelitic basement rocks, a typical host rock for economic uranium mineralization. The depth to basement is locally less than 350 metres.
Denison's recently discovered Huskie deposit is located approximately 10 km due east along strike from Henday Lake. An NI 43-101 technical report dated October, 2018 estimates the inferred resource of the Husky deposit to be 5.7 million Ibs. U3O8.
The Henday Lake property falls within the Mudjatik-Wollaston Tectonic Zone, a northeast trending structural zone along the eastern margin of the Basin. The Mudjatik-Wollaston Tectonic Zone is the NE trending high strain tectonic zone marking the boundary between the Archean gneisses and granitoids of the Mudjatik Domain to the west and Archean gneisses, metasediments, and pegmatite intrusions of the Wollaston domain to the east.

CNX Resources Corporation. (CNX) shares rallied 11.1% in the last trading session to close at $12.93. This move can be attributable to notable volume with a higher number of shares being traded than in a typical session. This compares to the stock's 5.2% gain over the past four weeks.
CNX Resources Corporation continues to benefit from its low-cost structure and high-quality assets holding. Strong production from Marcellus and Utica shales will enable the company to meet 2021 production target of 540-570 billion cubic feet equivalent (Bcfe).
CNX Resources’ strong free cash flow generation will help the company to meet debt obligation and continue with the share buyback program. During the second quarter, it repurchased 1.6 million shares of common stock at an average price of $13.89 per share for a total cost of $23 million. The company still has $215 million remaining in the share repurchase program. Systematic buyback will continue to boost its earnings.
This company is expected to post quarterly earnings of $0.27 per share in its upcoming report, which represents a year-over-year change of +575%. Revenues are expected to be $421.03 million, up 537.2% from the year-ago quarter.
Earnings and revenue growth expectations certainly give a good sense of the potential strength in a stock, but empirical research shows that trends in earnings estimate revisions are strongly correlated with near-term stock price movements.
For CNX Resources Corporation., the consensus EPS estimate for the quarter has been revised 5% higher over the last 30 days to the current level. And a positive trend in earnings estimate revision usually translates into price appreciation. So, make sure to keep an eye on CNX going forward to see if this recent jump can turn into more strength down the road.

Sept 28 (Reuters) – A North Carolina county on Tuesday added several mining-related standards to its zoning regulations, taking steps that directly affect a proposed Piedmont Lithium Inc mine that could eventually supply the ultralight battery mineral to Tesla Inc.
The Gaston County Board of Commissioners unanimously approved standards for lighting, noise-reduction, blasting and other mining-related activities. The new rules came after commissioners in August set a 60-day mining moratorium.
"We believe the safety and environmental standards currently outlined in our proposed Carolina Lithium Project will meet or exceed the standards set in the newly passed regulations," Piedmont Chief Executive Officer Keith Phillips, said in a statement.
The county did not previously have mining regulations, a fact that concerned elected officials who feared Piedmont would be able to operate without any local oversight should it ultimately receive state regulatory approval.
The project, which has divided the county of roughly 220,000, underscores the broader tension in the United States as resistance to living near a mine clashes with the potential of EVs to mitigate climate change.
Despite spending years buying acreage, hiring investment bankers and inking a supply deal with Tesla, Piedmont did not approach local officials until July and did not apply for a state mining permit until last month.
Piedmont has already spent $58 million on the project, which would produce about 30,000 tonnes of lithium annually, enough to make about 3 million EVs.
Commissioners have now threatened to deny a necessary zoning variance when Piedmont eventually applies for it. The Tesla deal was indefinitely postponed last month.
The zoning changes approved on Tuesday will require mining companies to build a 12-foot (3.7-meter) high barrier to mitigate noise. Any lights a mining project uses will not be allowed to shine on a neighbor's property. Miners will also have to erect a 7-foot-tall (2.13-meter )chain-link fence topped with barbed wire.
The new laws would also only allow rock blasting during the daylight hours. Violations of the blasting rules would give the county cause to revoke a mine's operating permit.
"We changed what we thought we needed to change in order to enforce safety around a mine," Chad Brown, a commissioner, told Reuters. (Reporting by Ernest Scheyder; additional reporting by Bhargav Acharya; Editing by Sonya Hepinstall, Richard Pullin and Sandra Maler)

VANCOUVER, BC / ACCESSWIRE / September 28, 2021 / Commerce Resources Corp. (TSXV:CCE)(FSE:D7H0)(OTCWX:CMRZF) (the "Company" or "Commerce") is pleased to announce that it has initiated a mineral processing program to determine the final Prefeasibility Study (PFS) design criteria of the front-end flowsheet for the Ashram Rare Earth and Fluorspar Deposit. The program has been developed in coordination with the Qualified Persons for the Project's PFS flowsheet design and will be carried out at Hazen Research, where the Company's conventional base flowsheet has been developed.
The program is designed to confirm the mineral processing components in order to establish the front-end flowsheet design for the PFS. The design of the downstream hydrometallurgical flowsheet for the PFS is currently being confirmed as part of the ongoing program to produce mixed rare earth carbonate concentrate to satisfy several requests by global processors (see news release dated September 9, 2021). Specifically, the mineral processing program will include,
Incorporation of the advancements to the flotation circuit, made by academic and government institutions, into the Company's base flowsheet developed at Hazen Research.
Final flotation and magnetic separation development testwork to confirm the optimal reagent suite and conditions of the front-end flowsheet.
Phase II comminution variability testing on nine (9) domain composites of drill core collected throughout the deposit.
Front-end flowsheet variability testing on early/mid mine-life deposit material using domain composites.
Filtration testing on flotation concentrate and tailings to determine material handling and tailings management facility design.
Company President, Chris Grove comments, "The Company has significantly advanced the flowsheet's development through focused work in past programs at Hazen Research as well through the numerous optimizations and discoveries from our institutional collaborations, which continue today. As we advance through the later stages of the PFS for Ashram, it is now time to confirm the flowsheet's PFS design criteria which is the next step in advancing the study to completion. Flowsheet development remains an ongoing process through to Feasibility and is commonly refined during operation, and as such, the Company will continue to advance the test work and unlock the considerable potential for optimization that remains in which Hazen and our institutional metallurgical partners have outlined."
Flotation and Wet High Intensity Magnetic Separation (WHIMS)
Approximately 5 tonnes of Ashram Deposit bulk sample material, at a grade of 2.0% rare earth oxide (REO), have been crushed and ground to use as feed for the test program. The initial focus of the program will be to incorporate into the base flowsheet the discoveries and advancements made by the academic and government institutional groups, namely CanmetMINING (a branch of Natural Resources Canada – NRCan) and Université Laval, whose test programs have been supported by various provincial and federal grant programs. The successes of these programs include significant reductions in reagent quantities, alternative reagent suites, and improved recoveries in cleaner-stage flotation (see news releases dated May 13, 2020, and December 17, 2019, respectively). Once the flotation component of the flowsheet has been confirmed and the optimal flotation reagent scheme and conditions have been determined, a scale-up will be completed, which may include additional piloting.
Following confirmation of the flotation circuit design, the magnetic separation circuit will be further advanced and optimized. The initial work on the magnetic separation stage (WHIMS) proved extremely successful with a strong upgrading factor at very high stage recoveries (high 80s to mid-high 90s) resulting in the high-grade monazite concentrates (>40% rare earth oxide) comparable to global producers. As such, significant room remains for additional improvement and the test work planned herein for the magnetic separation stage will target further optimization of this circuit including the evaluation of different types of magnetic separator equipment.
Comminution and Variability
The Phase II comminution test work is currently being carried out by SGS Canada on nine (9) rock unit domain composites and will include Bond low energy impact testing (CWi), JK drop-weight testing (DWT), SAG mill comminution testing (SMC), Bond rod mill grindability testing (RWi), Bond ball mill grindability testing (BWi), and Bond abrasion testing (Ai). The Phase II comminution test work will complement the Phase I work completed in 2012 on near-surface drill core intersections (<71 m depth) located in the central areas of the deposit. Comminution data is a critical component of a PFS and is required to determine appropriate equipment sizing, maintenance cycles, and energy requirements at the mill.
As part of the overall program, variability testing will be completed to expand upon previous work, including applying the base case flotation flowsheet to the nine (9) domain composites currently being used for the comminution testwork. The information will complement the comminution data and further constrain equipment sizing and other critical design criteria for the process plant. A specific focus will be placed on material which is expected to comprise the initial years of mine-life.
Variability testing is a critical component of flowsheet development and ensures that the process plant can handle the natural variability of the deposit mineralization. Some of this work has already been completed throughout the test programs over the past few years and include testwork on drill core at different locations within the deposit, as well as bulk sample material from surface outcrop.
Filtration
As part of the overall program, filtration testing will be completed on flotation concentrate and tailings to determine material handling and tailings management facility design. Tests will include static settling, vacuum, and pressure filtration and complement the preliminary filtration testing completed as part of the 2015 flotation pilot plant operation. The data collected will be used to determine the appropriate filtration methods and equipment sizing for operation at the process plant, as well as determine the optimal handling, transport, and storage methods for the concentrate and tailings.
The current flowsheet for the Ashram Rare Earth and Fluorspar Deposit, developed by Hazen Research, uses conventional unit processes to produce a high-grade rare earth mineral (monazite) concentrate that is comparable to active global hard-rock REE producers. Specifically, the Ashram flowsheet utilizes a flotation – HCl leach – magnetic separation process approach to achieve high-grade (>40% REO) monazite concentrates at high recovery, similar in nature to those which are commonly processed globally today.

Mandalay Resources (TSE:MND) has had a rough three months with its share price down 28%. But if you pay close attention, you might gather that its strong financials could mean that the stock could potentially see an increase in value in the long-term, given how markets usually reward companies with good financial health. Specifically, we decided to study Mandalay Resources' ROE in this article.
Return on equity or ROE is a key measure used to assess how efficiently a company's management is utilizing the company's capital. Put another way, it reveals the company's success at turning shareholder investments into profits.
See our latest analysis for Mandalay Resources
The formula for return on equity is:
Return on Equity = Net Profit (from continuing operations) ÷ Shareholders' Equity
So, based on the above formula, the ROE for Mandalay Resources is:
29% = US$46m ÷ US$159m (Based on the trailing twelve months to June 2021).
The 'return' is the income the business earned over the last year. Another way to think of that is that for every CA$1 worth of equity, the company was able to earn CA$0.29 in profit.
We have already established that ROE serves as an efficient profit-generating gauge for a company's future earnings. We now need to evaluate how much profit the company reinvests or "retains" for future growth which then gives us an idea about the growth potential of the company. Assuming everything else remains unchanged, the higher the ROE and profit retention, the higher the growth rate of a company compared to companies that don't necessarily bear these characteristics.
Firstly, we acknowledge that Mandalay Resources has a significantly high ROE. Additionally, the company's ROE is higher compared to the industry average of 13% which is quite remarkable. As a result, Mandalay Resources' exceptional 22% net income growth seen over the past five years, doesn't come as a surprise.
As a next step, we compared Mandalay Resources' net income growth with the industry and were disappointed to see that the company's growth is lower than the industry average growth of 32% in the same period.
Earnings growth is an important metric to consider when valuing a stock. What investors need to determine next is if the expected earnings growth, or the lack of it, is already built into the share price. Doing so will help them establish if the stock's future looks promising or ominous. If you're wondering about Mandalay Resources''s valuation, check out this gauge of its price-to-earnings ratio, as compared to its industry.
Given that Mandalay Resources doesn't pay any dividend to its shareholders, we infer that the company has been reinvesting all of its profits to grow its business.
Overall, we are quite pleased with Mandalay Resources' performance. Specifically, we like that the company is reinvesting a huge chunk of its profits at a high rate of return. This of course has caused the company to see a good amount of growth in its earnings. With that said, the latest industry analyst forecasts reveal that the company's earnings growth is expected to slow down. TORONTO, Sept. 28, 2021 (GLOBE NEWSWIRE) — (TSXV: TVC) Three Valley Copper Corp. (“Three Valley Copper” or the “Company”) is pleased to provide a corporate and operating update on its 91.1% owned Minera Tres Valles (“MTV”) property near Salamanca, Region de Coquimbo, Chile.
Papomono Masivo Block Caving Underground Construction and Resulting Preliminary Guidance
Construction began on this project in December 2020. Papomono Masivo (“PPM”) has proven and probable reserves of approximately 102 million pounds of contained copper with an average grade of 1.51%4. The development of PPM currently is at 71% for horizontal works and 85% for vertical works and the Company’s continued expectation is that PPM will be completed end of 2021/early 2022 with the planned ramp-up of production during 2022.
“We continue to improve the development rate of this project during the month of August (the advance rate being the best month on record), and we expect the fourth quarter’s projected advance rate to be similar,” said Joe Phillips, COO of the Company. “We have completed the critical ventilation shaft and the ore pass which will further accelerate the speed of our continued advance. We remain on track to commence the caving/mining process in December 2021 or early 2022.”
The resulting progress of the PPM project has provided the Company with the opportunity to provide preliminary guidance for 2022 and 2023. Copper production is expected to significantly increase in 2022 compared to 2021’s production range of 4,500 to 5,500 tonnes as the initial construction of the PPM project concludes and mining of PPM begins during the 2022 ramp-up year. Thereafter, it is expected that annual production between 13,000 and 16,000 tonnes of copper cathode will be attained in 2023 approaching the operation’s full production capacity. The Company’s production profile includes mineralized material from both Don Gabriel and PPM during 2022 and predominantly from PPM during 2023 together with material from ENAMI and third-party miners expected during both years. Looking forward to 2022 and 2023, Cash Costs are expected to fall significantly driven by higher grades from PPM and throughput coupled with decreased capital development and other sustaining capital programs. As the Company exits 2021 and completes its budgeting process, updates to this preliminary guidance may be required.
The preliminary outlook1 for 2022 and 2023 at MTV is as follows:

Preliminary guidance is based on certain estimates and assumptions, including but not limited to, mineral reserve estimates, grade and continuity of interpreted geological formations, metallurgical performance and foreign exchange rates. Please refer to the amended and restated technical report prepared by Wood Independent Mining Consultants, Inc., in respect of the Minera Tres Valles Copper Project (the “Technical Report”) dated May 27, 2021 and to the Company’s SEDAR filings for complete risk factors related to the Company and MTV.
Cash Cost is a non-IFRS measure – Cash costs of production include all costs absorbed into inventory less non-cash items such as depreciation. Cash costs per pound produced are calculated by dividing the aggregate of the applicable costs by copper pounds produced.
Planned capital expenditures (“CAPEX”) for 2022 and 2023 are focused primarily on open pit expansion, plant CAPEX and sustaining CAPEX of PPM for the inclined block-caving mining project. It is expected that by early 2022, the underground operation at PPM will begin production and the resulting production growth is expected to lower per unit operating costs in 2022 and 2023 as the results of this CAPEX are realized.
As per the Technical Report.
Copper Porphyry Target Identified
Further to the press release on September 15, 2021 announcing the commencement of the near-mine exploration drilling program at MTV, the Company announces that it has identified a new copper porphyry target in its license area.
The target is within an area previously mapped as a late Cretaceous granitoid intrusive. The identified target shows likely hydrothermal alteration characteristics of the phyllic zone of porphyry copper deposits, determined by processing ASTER satellite data sourced from the United States Geological Survey. The characteristic minerals produced by phyllic hydrothermal alterations can be detected using ASTER data in areas without thick vegetation and/or soil cover like this part of Chile because of their spectral absorption features. When exposed at the Earth’s surface, they preferentially absorb certain frequencies of sunlight in the short-wave infrared range, and ASTER has the spectral bands to enable the detection of their resulting spectral signature.
The identified central core has dimensions of approximately 2km by 1km, which outlines the surface footprint of the target. It is surrounded by a darker shade topographically elevated rim. There is also a nearby copper deposit described as a skarn, and it is notable that copper skarns are often nearby porphyry deposits, providing another positive indicator for this target.
“John Mortimer, our exploration consultant, has identified an exciting target for the Company,” stated Michael Staresinic, President and CEO of the Company. “Copper porphyry deposits are associated with some of the largest long life copper mines in the world, with Chile hosting the greatest concentration of these deposits. This target is an example of the broader potential of this property as we continue to identify additional targets on our 46,000 hectare land package. This target forms part of our new exploration section in our corporate presentation available on our website at https://www.threevalleycopper.com.”
Following the completion of the recently announced exploration campaign focusing on 6,000 to 8,000 meters of proposed drillings near MTV’s existing mines, additional efforts will be directed towards this copper porphyry target.

Arbitration Update
In August 2021, the Company increased its ownership stake in MTV from 90.3% to 91.1% after a further opportunity to subscribe for newly issued shares of MTV. Consistent with its past actions, the minority shareholder of MTV did not participate in the subscription resulting in the dilution of their MTV ownership from 9.7% to 8.9%. Both the Company, through its 100% ownership in SRH Chile SpA, and the minority shareholder have selected their respective arbitrators, that together, with a to be agreed upon neutral third arbitrator, will form the arbitral tribunal that will adjudicate the shareholders’ dispute.
The Company remains confident in its position that the allegations made by the minority shareholder are baseless and unsubstantiated and reflect the minority shareholder’s attempt to receive preferential treatment contrary to the terms of the shareholders agreement (“SHA”). The Company and its legal counsel are of the strong and steadfast position that the claim is without merit and the Company has acted appropriately and in accordance with Chilean law, the Judicial Reorganization Agreement, the by-laws of MTV and the SHA in all respects. At this time and based on the timelines agreed to in the SHA, the Company estimates the arbitration process could take up to 10 to 12 months to complete.

Cautionary Note to United States Investors Concerning Estimates of measured, indicated and inferred mineral resources
This news release may use the terms "measured", "indicated" and "inferred" mineral resources. Historically, while such terms were recognized and required by Canadian regulations, they were not recognized by the United States Securities and Exchange Commission (the “SEC”). The SEC has adopted amendments to its disclosure rules to modernize the mineral property disclosure requirements for issuers whose securities are registered with the SEC under the Securities and Exchange Act of 1934, as amended (the “Exchange Act”). These amendments became effective February 25, 2019 (the “SEC Modernization Rules”) with compliance required for the first fiscal year beginning on or after January 1, 2021. The SEC Modernization Rules replace the historical property disclosure requirements for mining registrants that were included in SEC Industry Guide 7, which will be rescinded from and after the required compliance date of the SEC Modernization Rules. As a result of the adoption of the SEC Modernization Rules, the SEC now recognizes estimates of “measured”, “indicated” and “inferred” mineral resources. In addition, the SEC has amended its definitions of “proven mineral reserves” and “probable mineral reserves” to be substantially similar to the corresponding Canadian Institute of Mining, Metallurgy and Petroleum definitions, as required by NI 43-101. Investors are cautioned that "Inferred mineral resources" have a great amount of uncertainty as to their existence, and as to their economic and legal feasibility. It cannot be assumed that all or any part of an inferred mineral resource will ever be upgraded to a higher category. Under Canadian rules, estimates of inferred mineral resources may not form the basis of feasibility or other economic studies. United States investors are cautioned not to assume that all or any part of measured or indicated mineral resources will ever be converted into mineral reserves. United States investors are also cautioned not to assume that all or any part of an inferred mineral resource exists or is economically or legally mineable.

The proven Zacks Rank system focuses on earnings estimates and estimate revisions to find winning stocks. Nevertheless, we know that our readers all have their own perspectives, so we are always looking at the latest trends in value, growth, and momentum to find strong picks.
Looking at the history of these trends, perhaps none is more beloved than value investing. This strategy simply looks to identify companies that are being undervalued by the broader market. Value investors rely on traditional forms of analysis on key valuation metrics to find stocks that they believe are undervalued, leaving room for profits.
On top of the Zacks Rank, investors can also look at our innovative Style Scores system to find stocks with specific traits. For example, value investors will want to focus on the "Value" category. Value investors also use the P/S ratio. The P/S ratio is is calculated as price divided by sales. Some people prefer this metric because sales are harder to manipulate on an income statement. This means it could be a truer performance indicator. TECK has a P/S ratio of 1.7. This compares to its industry's average P/S of 2.35.
Finally, our model also underscores that TECK has a P/CF ratio of 9.66. This data point considers a firm's operating cash flow and is frequently used to find companies that are undervalued when considering their solid cash outlook. TECK's current P/CF looks attractive when compared to its industry's average P/CF of 13.02. Within the past 12 months, TECK's P/CF has been as high as 26.17 and as low as -25.05, with a median of 10.06.
These are only a few of the key metrics included in Teck Resources Ltd's strong Value grade, but they help show that the stock is likely undervalued right now. When factoring in the strength of its earnings outlook, TECK looks like an impressive value stock at the moment.

Vancouver, British Columbia–(Newsfile Corp. – September 28, 2021) – Millennial Lithium Corp. (TSXV: ML) (FSE: A3N2) (OTCQX: MLNLF) ("Millennial" or the "Company") is pleased to announce that it has entered into a definitive arrangement agreement (the "CATL Arrangement Agreement") with Contemporary Amperex Technology Co., Ltd. ("CATL") dated September 28, 2021 pursuant to which CATL will acquire all of the outstanding shares of Millennial (each, a "Common Share") by way of a plan of arrangement (the "CATL Arrangement") for CAD$3.85 per Common Share (the "Purchase Price"), payable in cash, representing total cash consideration of approximately CAD$377 million.
Prior to entering into the CATL Arrangement Agreement, Millennial terminated its arrangement agreement with Ganfeng Lithium Co., Ltd. and 1314992 B.C. Ltd. ("Ganfeng") dated July 16, 2021, as amended (the "Ganfeng Arrangement Agreement"), in accordance with its terms.
As disclosed in its press release issued on September 8, 2021, Millennial received a non-binding proposal from CATL to acquire all of the issued and outstanding Common Shares at a price of CAD$3.85 per Common Share and notified Ganfeng that this proposal constituted a "Superior Proposal" in accordance with the terms of Ganfeng Arrangement Agreement. Ganfeng elected not to exercise its right to match and, as a result, Millennial terminated the Ganfeng Arrangement Agreement in accordance with its terms and entered into the CATL Arrangement Agreement. The CATL Arrangement represents a premium of approximately 6.9% to the value of the consideration offered pursuant to the Ganfeng Arrangement Agreement.
Consistent with market practice in similar transactions and pursuant to the CATL Arrangement Agreement, CATL has also reimbursed Millennial for the termination fee of USD$10 million paid to Ganfeng in respect of the termination of the Ganfeng Arrangement Agreement (the "Existing Termination Amount").
Benefits to Millennial Shareholders
Significant premium of approximately 29% over the twenty (20) day average closing price of CAD$2.98 for the Common Shares on the TSX Venture Exchange.
All-cash offer that is not subject to a financing condition.
Premium of approximately 6.9% to the price offered under the Ganfeng Arrangement Agreement.
Voting support with voting support agreements entered into with directors and senior officers of Millennial.
Removes future dilution risk associated with funding development of next phase of Pastos Grandes Project.
Millennial Board of Directors' Recommendation
After consultation with its financial and legal advisors, and on the unanimous recommendation of the special committee of directors of Millennial (the "Special Committee"), the CATL Arrangement Agreement has been approved unanimously by the board of directors of Millennial (the "Board") and the Board recommends that Millennial shareholders ("Shareholders") and holders ("Warrantholders", and together with Shareholders, "Voting Securityholders") of Common Share purchase warrants ("Warrants") vote in favour of the CATL Arrangement. The Special Committee has received an oral fairness opinion from Sprott Capital Partners LP ("Sprott") which states that the consideration to be received by Shareholders pursuant to the CATL Arrangement is fair, from a financial point of view, to Shareholders (other than CATL).
Transaction Conditions and Timing
The CATL Arrangement will be effected by way of a court-approved plan of arrangement under the British Columbia Business Corporations Act and will be subject to the approval of: (i) 662/3% of votes cast by Shareholders; (ii) 662/3% of votes cast by Voting Securityholders, voting together as a group; and (iii) a simple majority of the votes cast by Voting Securityholders excluding for this purpose the votes held by any person required under Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions, at a special meeting of Voting Securityholders expected to be held on November 15, 2021 (the "CATL Meeting"). In addition to Voting Securityholder approval, the CATL Arrangement is also subject to the receipt of certain regulatory and court approvals, including Investment Canada Act approval, and other closing conditions customary in transactions of this nature.
The CATL Arrangement provides for, among other things, customary Board support and non-solicitation covenants, with a "fiduciary out" that would allow Millennial to accept a superior proposal, subject to a "right to match" period in favour of CATL. The CATL Arrangement Agreement also provides for, among other matters, (i) a termination fee of USD$10 million, payable by Millennial to CATL in certain specified circumstances, (ii) the reimbursement of the Existing Termination Amount from Millennial to CATL in certain specified circumstances, (iii) the reimbursement of CATL's expenses up to USD$500,000 if the CATL Arrangement Agreement is terminated in certain other specified circumstances, and (iv) a reverse termination fee of USD$16 million, held in escrow and payable by CATL to Millennial in certain other specified circumstances.
All directors and senior officers of Millennial have entered into support and voting agreements pursuant to which they have agreed to vote their Common Shares in favour of the CATL Arrangement.
As part of the CATL Arrangement, outstanding Company convertible securities, including the Warrants, stock options ("Options"), restricted share units ("RSUs") and performance share units ("PSUs") will be acquired by the Company and cancelled. The holders of Warrants will receive cash consideration of CAD$0.30 per whole Warrant, and the holders of Options will receive cash consideration equal to the Purchase Price less the exercise price of such Option. Holders of RSUs and PSUs will receive cash consideration equal to the Purchase Price for each RSU and PSU held. Pursuant to the CATL Arrangement Agreement, CATL has agreed to ensure that the Company has sufficient working capital to satisfy the aggregate consideration payable to the holders of the Warrants, Options, RSUs and PSUs.
Subject to certain conditions, including the parties obtaining the requisite regulatory approvals, the CATL Arrangement is expected to close in the fourth quarter of 2021 or in January 2022.
Upon closing of the CATL Arrangement, the Common Shares and Warrants are expected to be concurrently delisted from the TSX Venture Exchange.
In light of these developments, Millennial has cancelled the special meeting of Voting Securityholders scheduled to be held on September 30, 2021 and expects to convene a new meeting on November 15, 2021.
Full details of the CATL Arrangement will be included in a management information circular of Millennial that is expected to be mailed to Voting Securityholders in October 2021 and made available on SEDAR under the issuer profile of Millennial at www.sedar.com.

Ideally, your overall portfolio should beat the market average. But even the best stock picker will only win with some selections. So we wouldn't blame long term Fortuna Silver Mines Inc. (TSE:FVI) shareholders for doubting their decision to hold, with the stock down 45% over a half decade. And it's not just long term holders hurting, because the stock is down 39% in the last year. Furthermore, it's down 22% in about a quarter. That's not much fun for holders.
It's worthwhile assessing if the company's economics have been moving in lockstep with these underwhelming shareholder returns, or if there is some disparity between the two. So let's do just that.
Check out our latest analysis for Fortuna Silver Mines
While markets are a powerful pricing mechanism, share prices reflect investor sentiment, not just underlying business performance. One flawed but reasonable way to assess how sentiment around a company has changed is to compare the earnings per share (EPS) with the share price.
Fortuna Silver Mines became profitable within the last five years. Most would consider that to be a good thing, so it's counter-intuitive to see the share price declining. Other metrics may better explain the share price move.
In contrast to the share price, revenue has actually increased by 8.6% a year in the five year period. A more detailed examination of the revenue and earnings may or may not explain why the share price languishes; there could be an opportunity.
The company's revenue and earnings (over time) are depicted in the image below (click to see the exact numbers).
We like that insiders have been buying shares in the last twelve months. Even so, future earnings will be far more important to whether current shareholders make money. This free report showing analyst forecasts should help you form a view on Fortuna Silver Mines
While the broader market gained around 34% in the last year, Fortuna Silver Mines shareholders lost 39%. However, keep in mind that even the best stocks will sometimes underperform the market over a twelve month period. Regrettably, last year's performance caps off a bad run, with the shareholders facing a total loss of 8% per year over five years. Generally speaking long term share price weakness can be a bad sign, though contrarian investors might want to research the stock in hope of a turnaround. I find it very interesting to look at share price over the long term as a proxy for business performance. But to truly gain insight, we need to consider other information, too. Case in point: We've spotted 2 warning signs for Fortuna Silver Mines you should be aware of, and 1 of them shouldn't be ignored.
There are plenty of other companies that have insiders buying up shares. You probably do not want to miss this free list of growing companies that insiders are buying.

What trends should we look for it we want to identify stocks that can multiply in value over the long term? In a perfect world, we'd like to see a company investing more capital into its business and ideally the returns earned from that capital are also increasing. If you see this, it typically means it's a company with a great business model and plenty of profitable reinvestment opportunities. Speaking of which, we noticed some great changes in Alphamin Resources' (CVE:AFM) returns on capital, so let's have a look.
For those that aren't sure what ROCE is, it measures the amount of pre-tax profits a company can generate from the capital employed in its business. Analysts use this formula to calculate it for Alphamin Resources:
Return on Capital Employed = Earnings Before Interest and Tax (EBIT) ÷ (Total Assets – Current Liabilities)
0.29 = US$76m ÷ (US$334m – US$69m) (Based on the trailing twelve months to June 2021).
Thus, Alphamin Resources has an ROCE of 29%. In absolute terms that's a great return and it's even better than the Metals and Mining industry average of 2.8%.
Check out our latest analysis for Alphamin Resources
In the above chart we have measured Alphamin Resources' prior ROCE against its prior performance, but the future is arguably more important. If you'd like to see what analysts are forecasting going forward, you should check out our free report for Alphamin Resources.
The fact that Alphamin Resources is now generating some pre-tax profits from its prior investments is very encouraging. About five years ago the company was generating losses but things have turned around because it's now earning 29% on its capital. In addition to that, Alphamin Resources is employing 264% more capital than previously which is expected of a company that's trying to break into profitability. This can indicate that there's plenty of opportunities to invest capital internally and at ever higher rates, both common traits of a multi-bagger.
For the record though, there was a noticeable increase in the company's current liabilities over the period, so we would attribute some of the ROCE growth to that. Effectively this means that suppliers or short-term creditors are now funding 21% of the business, which is more than it was five years ago. It's worth keeping an eye on this because as the percentage of current liabilities to total assets increases, some aspects of risk also increase.
To the delight of most shareholders, Alphamin Resources has now broken into profitability. And a remarkable 198% total return over the last five years tells us that investors are expecting more good things to come in the future. With that being said, we still think the promising fundamentals mean the company deserves some further due diligence.
Like most companies, Alphamin Resources does come with some risks, and we've found 1 warning sign that you should be aware of.
High returns are a key ingredient to strong performance, so check out our free list ofstocks earning high returns on equity with solid balance sheets.
